ATTACHMENT "A"

RANGEN, INC LONG HAUL TRANSPORTATION DRIVER WAGE SCHEDULE (Effective 12/01/2001)

1. STANDARD SOLO RATE:
  1. Zero to 1 year of "qualified experience"* 25 cents per mile;
  2. 1 year to 2 years of "qualified experience"* 26 cents per mile;
  3. 2 years to 3 years of "qualified experience"* 27 cents per mile;
  4. 3 years to 4 years of "qualified experience"* 27.5 cents per mile;
  5. 4 years to 5 years of "qualified experience"* 28 cents per mile;
  6. 5 years to 6 years of "qualified experience"* 28.5 cents per mile;
  7. 6 years to 7 years of "qualified experience"* 29 cents per mile;
  8. 7 years to 8 years of "qualified experience"* 29.5 cents per mile;
  9. 8 years to 9 years of "qualified experience"* 30 cents per mile;
  10. 9 years to 10 years "qualified experience"* 31 cents per mile;
  11. Over 10 years compensation shall be 32 cents per mile or as determined by company management.
It is understood that the above referenced rates per mile are base rates and that any and all bonuses for miles traveled, safety and fuel economy (as set out hereafter), if any, shall be in addition to the base compensation per mile as set out herein.

*"Qualified experience" as used herein is defined as being consecutive years of qualified service within the last ten (10) years of driving over the road long haul with refrigerated vans. In addition, qualified years of experience will also be based on miles driven per year with a minimum of 100,000 miles per year for a qualified year.

2. STANDARD TEAM RATE:
Drivers who drive in pairs as a team will equally split 34 cents per mile as a starting base pay. After two years of "qualified experience" team drivers shall equally split 36 cents per mile thereafter.

3. PICK AND DROP PAY:
DRIVER will be compensated for each pick up or drop off of cargo as follows:
  1. No payment for the first pick up;
  2. $15.00 for each pick up after the first, to be divided evenly between the drivers in a team or paid to the individual driver if driving solo;
  3. No payment for first drop; and
  4. $15.00 for each subsequent drop, to be divided evenly between the drivers in a team or paid to the individual driver if driving solo.
4. HOLIDAY, LOCAL WORK, SICK PAY:
DRIVER will be compensated for four (4) holidays each year namely, Christmas, New Years, July 4th and Thanksgiving. Compensation for holidays shall be at the rate of $75.00 per holiday day.

DRIVER shall be compensated for all local work at the rate of $9.25 per hour. "Local work" is defined as work done in the immediate area, less than 125 mile radius. Examples of local work include, but are not limited to the following: shuttle work; washing trailers, loading or unloading the trailers of other drivers, safety meetings, and driving a tractor with or without a trailer for necessary maintenance. To be eligible to receive pay for local work from the Company, the Transportation Division Manager must approve and assign the local work in advance of the work that qualifies for payment and the DRIVER must submit the request for payment of local work within the payroll period in which the local work was completed.

There shall be no sick pay provided to DRIVER.

5. PERSONAL TIME OFF (PTO):
DRIVER shall be given personal time off, in lieu of vacation, according to the following schedule:
  1. One week PTO after employment for one full year;
  2. Two weeks PTO after two full years of employment;
  3. Three weeks PTO after eight years of employment;
  4. Four weeks PTO after fifteen years of continuous employment.
Payment of personal time off shall be calculated based on the previous fifty two (52) weeks average earnings per week.

6. LAYOVER PAY:
Layover pay is payment to DRIVER for scheduled time spent waiting without a scheduled load. DRIVER will be paid $50 per day after the first 24 hours of available DOT driving time if the layover is not the fault of DRIVER. Layover Pay will not be paid for Sundays. To receive Layover Pay, the Transportation Manager must approve it in writing on a "Layover Authorization Form". The Layover Authorization Form must be submitted to Human Resources for payment in the payroll period for which the layover pay was authorized.

7. PAYDAYS:
Compensation as set out herein shall be paid every two (2) weeks to DRIVER. Cut off date for submission of trip packets to calculate earnings is according to division policy.

8. BONUS-MILEAGE, FUEL, SAFETY.
DRIVER may receive a mileage bonus of $.015 per mile if the driver exceeds 35,000 miles within the quarter the bonus is given. Team Drivers will split the mileage bonus.

DRIVER may also receive a fuel bonus of $.0025 per mile if the DRIVER's fuel usage is greater than six (6) miles per gallon within the quarter the bonus is given.

DRIVER may also receive a safety bonus of $.0025 cents per mile if DRIVER has no traffic tickets, of any kind, and has no accidents within the quarter for which the bonus is given.

In order for the DRIVER to receive any fuel and/or safety bonuses DRIVER must have been eligible for the mileage bonus within the quarter. In other words, the fuel and safety bonuses are not to be given separate and apart from the mileage bonus even if earned.

Bonus payments, if any, are paid with the second payroll after the end of the applicable quarter.

Team drivers shall receive the mileage-fuel-safety bonus as set out herein at the same rate as set out above if the team exceeds 72,000 miles per quarter.

9. CHANGES IN PAYMENT SCHEDULE, BONUSES AND ALL TERMS OF THIS AGREEMENT.
All of the above terms and rates of pay are subject to change from time to time at the sole discretion of RANGEN. DRIVER will be informed of such changes as they are made. The President of Rangen, Inc. must approve such changes in writing.

10. RECEIPT OF COMPENSATION
DRIVER agrees that upon receipt of each compensation check or direct deposit under the herein above compensation schedule or any amendments or additions hereto, he/she shall make reasonable efforts to assure the accuracy of the amounts paid thereby and agrees that endorsement of said compensation check or acceptance of direct deposits shall constitute a full release of RANGEN from liability for payment for the services or obligations represented thereby and further acknowledges that there are no outstanding claims for past services.

11. MILEAGE CALCULATION.
Paid mileage for all purposes set out in this Agreement will be determined using the Rand McNally software package or similar mileage calculation software. Odometer miles will not be used.

12. REGULAR FULL TIME DRIVER
A Regular Full Time Driver as used herein is defined as a person hired to work year round on a scheduled basis. A Regular Full Time Driver is eligible for benefits as provided from time to time.

13. PART TIME RELIEF DRIVER
A Part Time Relief Driver as used herein is defined as a person hired not as a Regular Full Time Driver; but, hired either to work less than year round on a scheduled basis, or hired for a seasonal or temporary basis. A Part Time Relief Driver is not eligible for any employee benefits.

14. 401(K) AND HEALTH BENEFITS.
REGULAR FULL TIME DRIVER shall have the same health benefits and 401(K) Plan benefits as any other employee of Rangen as provided for in the Rangen, Inc. Employment Handbook as amended.
